History of IRB Infrastructure Developers Ltd.
The Comp. was incorporated as a private limited company,DVJ Leasing & Finance Private Limited on July 27,1998 under the Companies Act. The Company was primarily formed to fund the capital requirement of IRB Group'sinitiatives in the infrastructure & construction sectors Although the Comp. was incorporated as a leasing and financing company, it did not undertake any leasing business.
In the past, the Comp. has carried on certain maintenance operations for road projects constructed by other entities in the IRB Group. In 2005, the Comp. was granted the Bharuch Surat BOT project. Subsequently, pursuant to the restructuring of IRB Group in the fiscal year 2007, the Comp. became the holding company of IRB Group
Following the restructuring of IRB Group, the name of Company was changed from DVJ Leasing & Finance Private Limited to IRB Infrastructure Developers Private Limited pursuant to a special resolution of shareholders of Comp. at an EGM held on October 30, 2006. The fresh certificate of incorporation consequent upon the change of name was granted by RoC on November 8, 2006. Subsequently, pursuant to a special resolution of the shareholders of Comp. at an EGM held on November 25, 2006, the Comp. became a public limited company & the word private was deleted from its name. The certificate of incorporation to reflect the new name was ssued by RoC on November 27, 2006.
IDAA become the subsidiary of Comp. on June 21, 2006. The Comp. subsequently subscribed to 66% of shareholding in Aryan on July 18, 2007. On September 8, 2007, the Comp. increased its shareholding in IRBPL, MIPL, TGTRPL, IRB Infra & NKT to further consolidate the Company shareholding in the Subsidiaries. The registered office of Comp. was shifted with effect from July 1, 1999 from Manisha Safalya, Mahatma Gandhi Road, Dombivli, Mumbai 421 202, to 501, Dattashram,Hindu Colony, Lane No.1, Dadar Mumbai 400 014. Thereafter, the registered office of Comp. was shifted to 3rd Floor, IRB Complex, Chandivli Farm, Chandivli Village, Andheri [Easts],Mumbai 400 072 with effect from November 28, 2006.Ideal Road Builders Private Limit
